基因獨董責任 視董座是否掏空

基因國際董事長徐洵平涉內線交易，在事件爆發前辭職的獨立董事責任備受關注。律師指出，若徐洵平僅涉內線交易，未涉掏空，獨董也不知情，即應無責。

胖達人麵包標榜天然，卻添加人工香精，引發誠信問題之後，胖達人母公司基因國際董事長徐洵平又涉嫌內線交易；基因國際前獨立董事葉公亮、孫達汶在內線交易案爆發前辭職，由於葉公亮曾任富邦證券董事長，在證券業素有盛名，孫達汶也是多家上市公司董事，引發外界討論獨董是否該負責任。

律師分析，徐洵平涉嫌內線交易，若無涉掏空基因國際，沒有財務、業務資訊不實問題，獨立董事就無涉未盡查核責任，應該僅由涉內線交易的當事人承擔法律責任。

另外，徐洵平涉嫌內線交易，獨立董事是否知情是另一個面向，若知情或傳遞消息，仍應就內線交易部分，釐清法律責任。
